How to Register a Company Name in South Africa

You register a company name through CIPC, the Companies and Intellectual Property Commission. That is the only official body in South Africa that can register a company and issue a registration number. You can do it yourself on the CIPC website or pay someone like KAGO to handle it for you.

What You Need Before You Start

Get these things sorted before you go to CIPC:

Name Reservation vs Company Registration

There are two parts to this process. First you reserve a name. Then you register the company. Some people do both at the same time, but you can also register the company first without a name and add the name later.

When you reserve a name, CIPC checks if the name is available and not already in use by another company. If the name is approved, you get a name reservation certificate. This gives you the right to use that name for your company.

If you register the company without reserving a name first, CIPC will give your company a number and you can trade under that number until you add a proper name later.

The Steps to Register

1. Go to the CIPC website and create an account if you do not have one already.
2. Search the existing company names to see if your chosen name is available.
3. Submit a name reservation application. You can submit up to four name options in order of preference.
4. Pay the name reservation fee on the CIPC website.
5. Wait for CIPC to process the application. This can take several days to a few weeks depending on how busy CIPC is.
6. Once your name is approved, proceed to register the company using that name.
7. Submit your company registration documents, including the Memorandum of Incorporation.
8. Pay the company registration fee.
9. Wait for CIPC to issue your registration certificate.

The certificate you get at the end is called a CoR 14.3. This is the document that proves your company exists and is registered.

What If Your Name Is Taken

CIPC will reject your name if it is too similar to an existing company name. This is why it helps to have backup options. If all your name options are rejected, you have to submit new ones and pay again.

Some names are also restricted. You cannot use words that suggest your company is a government department or a state-owned entity when it is not. You also cannot use words that are misleading or offensive.

How Long Does It Take

Name reservation with CIPC can take from a few days to a few weeks. Company registration after that can take another few days to a few weeks. The exact time depends on how busy CIPC is and whether your paperwork is correct.
