What Is an MOI Amendment?
A Memorandum of Incorporation (MOI) is the document that sets out the rules for how your company runs. When you want to change those rules, for example the number of directors, the share structure, or the company name, you must file an MOI amendment with CIPC. The amendment only becomes legal once CIPC accepts it and issues a new registration certificate.
The Companies Act allows you to change almost anything in your MOI, but the change must follow the correct process and be filed through the CIPC online system.
When Do You Need to Amend Your MOI?
You need an MOI amendment when you want to change something that is written in your current MOI. Common reasons include:
- Changing the company name.
- Adding or removing directors, if your MOI sets a fixed number.
- Changing the share structure, like creating new share classes or increasing authorised shares.
- Changing the financial year end.
- Changing the company type, for example from a private company to a non profit.
- Updating the registered address details.
If the change is only about your accounting records or contact details, you may only need to file a standard notice, not a full MOI amendment. Check your current MOI first to see what it actually says.
The Steps to File an MOI Amendment at CIPC
Here is the real order of steps you must follow.
- Get a copy of your current MOI and your company registration certificate. You can download these from the CIPC website if you do not have them.
- Draft the amended MOI. You can use the standard CIPC MOI templates or get a custom one drafted. The new MOI must comply with the Companies Act.
- Get the required shareholder approval. For a private company, shareholders must pass a special resolution to adopt the new MOI. Keep the signed resolution, you will need it.
- Log in to the CIPC online portal using your customer code and password.
- Go to the company amendments section and select MOI amendment.
- Upload the new MOI, the signed special resolution, and any supporting documents CIPC asks for.
- Pay the CIPC filing fee. CIPC will confirm the amount on the portal before you submit.
- Wait for CIPC to process the amendment. You will receive a new registration certificate and a certified copy of the amended MOI once it is approved.
Who Must Sign the Resolution?
The shareholders must approve the MOI amendment by special resolution. This means at least 75 percent of the shareholders who vote must agree. The directors cannot change the MOI on their own unless your current MOI gives them that power, which is rare.
Once the shareholders pass the resolution, the company secretary or a director signs the amended MOI before you file it with CIPC.
How Long Does It Take?
CIPC processing times change depending on their workload and whether your documents are correct. If everything is in order, it can take a few days to a few weeks. If CIPC finds a mistake or asks for more information, it will take longer.
You can check the status of your amendment on the CIPC portal using your tracking number.
Common Mistakes to Avoid
Many MOI amendments get rejected because of simple errors. Avoid these.
- Filing the wrong version of the MOI template.
- Forgetting to attach the signed special resolution.
- Changing something that contradicts the Companies Act.
- Not updating the company name on the MOI if you are also changing the name.
- Using an old CIPC customer profile that is no longer active.
If your amendment is rejected, CIPC will tell you why. Fix the problem and resubmit.
Do You Need Help?
If you only need to change one small thing and you understand the CIPC portal, you can do it yourself. If you are changing your share structure, company type, or anything complex, it helps to have someone draft the MOI correctly the first time.
KAGO can help with company registrations and compliance documents through our Compliance Kit at R2,495. We make sure your paperwork is correct so you do not waste time on rejections. We cannot guarantee CIPC will approve everything instantly, but we make sure your documents are right before you submit.
What Happens After CIPC Approves the Amendment?
Once CIPC approves your amended MOI, the old MOI is no longer valid. You must use the new MOI going forward. Update your company records, give copies to your bank if needed, and make sure your directors and shareholders know about the changes.
If you changed your company name, you will also need to update your SARS details, your bank account, your B-BBEE certificate, and any contracts or licences that use the old name.
Questions people also ask
Can I amend my MOI without a lawyer?
Yes, you can draft and file an MOI amendment yourself using the standard CIPC templates. You still need a signed special resolution from shareholders before you submit it to CIPC.
What is the difference between an MOI amendment and a director change?
A director change is filed as a notice with CIPC and does not require an MOI amendment unless your MOI fixes the number of directors. An MOI amendment changes the actual rules of the company.
Does an MOI amendment cost money at CIPC?
Yes, CIPC charges a filing fee for MOI amendments and the amount depends on the type of change. The portal shows the exact fee before you pay and submit.
