To register a company in South Africa you need a South African ID or passport for each director, a valid email address, a cell phone number, a physical address in the country, and money to pay CIPC fees. You do not need a lawyer, an accountant, or an office. Most people register a private company, shown as (Pty) Ltd, because it limits your personal risk if the business owes money.

Documents and Information You Must Have

Before you start, gather these things for each director:

  1. South African ID document or passport
  2. Full names and contact details
  3. A valid email address you check regularly
  4. A cell phone number registered in your name
  5. A physical address in South Africa, not a PO Box

Types of Companies You Can Register

CIPC lets you register several types of companies. The one most entrepreneurs choose is a private company, which ends in (Pty) Ltd. Other types include non-profit companies (NPC), personal liability companies (Inc), and public companies (Ltd). Step 1: Reserve Your Company Name

You can either use the default name CIPC gives you or reserve a custom name. The default name uses your registration number, which starts with the year you registered. This costs nothing and is instant. If you want a custom name, you pay a CIPC fee and they check if the name is available and not too similar to another company name. If the name is rejected, you try again with another option.

Step 2: File Your Registration with CIPC

Once the name is sorted, you file your company registration on the CIPC website. You will need:

  1. The company name or default name
  2. The type of company, usually Pty Ltd
  3. The physical address of the company
  4. Director details for each person listed
  5. The number of shares the company will have

CIPC processes the filing and sends your documents to the email address you provided.

Step 3: Receive Your Registration Documents

After CIPC approves your registration, you get these documents:

  1. Registration certificate, called CoR14.3, which proves the company exists legally
  2. Memorandum of Incorporation, called MOI, which sets out the rules of the company
  3. A company registration number that starts with the year you registered

Keep these documents safe. You need them for bank accounts, SARS, and any tender or funding applications.

Step 4: Register with SARS

Company registration with CIPC is not the same as tax registration. After CIPC, you must register the company with SARS for income tax. You need:

  1. Your CIPC registration documents
  2. Your ID
  3. The company physical address
  4. Banking details if you have a business account

SARS gives the company a tax number. You may also need to register for VAT and PAYE, depending on your turnover and whether you employ people.

Other Registrations You May Need

After CIPC and SARS, you may need additional registrations depending on your business:

  1. A B-BBEE certificate if you want to work with government or large companies
  2. CIDB grading if you are in construction
  3. COIDA registration with the Department of Labour if you have employees
  4. UIF registration if you have employees
